Membership Terms and Conditions

About MakerSPACE Terms and Conditions
MakerSPACE seeks to provide a shared, community-driven workspace for location-independent workers, rooted at the heart of fair and equitable access for small business owners and creatives. The Terms and Conditions described below have been constructed to maintain this structure for its members.

Membership Terms and Conditions 
I, (hereinafter “I,” “Me,” “Dedicated Desk Holder”, "Private Office Resident Member", "Full-time" or "Part-time" member), agree that the Services provided to Me by MakerSPACE Spaces, LLC (hereinafter “MakerSPACE”)— said Services including but not limited to use of a portion of the office space (open workspace, private office suite, break room, conference room, huddle room, phone room, mailroom and podcast studio), to be shared with other MakerSPACE members, at 10903 Indian Head Highway, Suite 502, Fort Washington, MD 20744 (hereinafter “The Space”)—are subject to the following Terms and Conditions:

 


1. Limited Rights to Use of Space
 

- I understand that my membership does not constitute a lease or sublease, but is only a license to use The Space.
- I understand that membership is a privilege that may be revoked at MakerSPACE’s discretion. If my membership is revoked, I understand that MakerSPACE will not return my membership dues for the remaining period of membership, and I agree to pay any outstanding fees and to forfeit my membership, keys, and any other evidence of membership immediately.
- I understand that all amenities provided by MakerSPACE, including but not limited to opening hours, availability of a particular working area, use of the printer, or availability of the Internet are to be deemed as additional privileges of membership and are subject to change without notice.
- I understand that my use of The Space may on occasion be disrupted. This may include, but is not limited to: (i) the offering of events or Services on the premises that are not included in the standard membership and that may require additional fees to attend or use, and (ii) the need to move to another work area and under rare circumstances to vacate the premises entirely.
- I understand that MakerSPACE will do its best to announce to the member community in advance of any known changes or disruptions to member access to The Space or to the use of Services provided by MakerSPACE.
- If enrolled as a Lite Member, I understand that I am only allowed to purchase day passes for myself or a member of my company or organization, that are also enrolled as member(s) and have used all contract hours allotted in original agreement. All purchases will be billed on your invoice.

- If enrolled as a Virtual Member, I understand that I am only allowed to access mail during normal business hours Monday - Friday (9a to 3p EST)

2. The MakerSPACE Membership Portal

​

Your membership is managed through the Space's online membership portal. You are required to include your credit/debit card or bank routing and account information for payment of your monthly invoice on the first of the month via auto-debit or ACH transfer.

You may upgrade, downgrade, or cancel your membership by contacting MakerSPACE. The Space Operators or Community Manager may also implement this change for you to ensure the change is done properly. Changes to membership will be effective on the first of the following month unless otherwise confirmed with MakerSPACE. If you change your plan, you agree to the published membership plan details and rates at the time of your plan change.

 

Bookings are specific space reservations, such as the conference room, huddle room or podcast recording studio. Use of bookings beyond what is included in your membership plan for the month will be billed in the following month's invoice.

Any obtained day passes will be billed in the following month's invoice.

 


3. Fees and Terms of Payment

​

All membership dues are due on the first day of each month and are not refundable once they are paid, even if membership is cancelled after a membership payment is made. If you join after the first of the month, your membership dues will be prorated.

Payments received more than five days after the invoice due date will be charged a late fee of ten percent (10%) and the Member—owing such payments for membership or late fees—may have restricted access to The Space and its services or be denied access to The Space and its services until such time as said payments are up to date. For each additional month that payment for membership dues and/or late fees have not been received, an additional fee at 10% will be assessed. Consistent late payments over 60 days may result in immediate termination of membership to The Space, with remaining term fees becoming immediately due.

All members are required to keep a credit or debit card on file (or up-to-date routing and account numbers) in their Cobot account for auto-debit, which will take place on the first of the month. No other form of payment is accepted (unless specifically agreed upon with the space management).
At the beginning of this agreement, Lite members agrees to pay a non-refundable $50 charge for Membership Setup and Access Card that provides access to the The Space (8a to 5p; unless 24/7 upgraded membership is selected*). Private Office Resident Members are required to remit a deposit equal to one-month's full membership fee (not reflective of any promotions, specials or other concessions).

4. Membership Policies

 

Alloted conference and huddle room hours that are part of a membership plan expire at the end of each month and are not to be carried over to the next month.

Members may not transfer or sell conference room hours or any other perk that is included in their membership to another member or to anyone outside of MakerSPACE.

Membership plans are not to be shared between two people. One member can pay for another, but each member needs to establish their own Cobot account and membership.

 


5. Membership Cancellation Policy

 

Dedicated Desk Memberships: Reserving a dedicated desk requires  a 1-month security deposit for membership that is due upon signing the contract. In the case that a member needs to terminate their dedicated desk membership early, the deposit will be forfeited and membership will be terminated at the end of the last month that was paid for. If you would like to cancel your membership, submit your cancellation notice at least 7 days in advance (for month-to-month agreements; and, 30 days in advance for all other term agreements) in writing to hello@makerspaceventures.com.


Multi-Month License Memberships: A multi-month license membership is when a member commits to an extended term membership, such as a 6 or 12-month term, to receive a discounted membership rate. Should the member choose to terminate their membership before their license term has ended, the member will be charged a cancellation fee the equivalent of 1-month of membership at their discounted rate. If the member pays for multiple months in advance, their membership dues are non-refundable.


All other memberships: Members are free to terminate or change their membership as needed. If a member needs to downgrade their membership level, the change will begin on the first of the following month. If a member would like to upgrade, the change can be made at any time. Please talk to your Community Manager about this so that he/she can ensure that everything is properly set up in Cobot. If you would like to cancel your membership, please submit your cancellation notice at least 7 days in advance (for month-to-month agreements; and, 30 days in advance for all other term agreements) in writing to hello@makerspaceventures.com.

6. Respect for Community Interests

​

I understand that MakerSPACE has been created for the benefit of the entire community of members and that my own membership should not interfere with the interests of the community as a whole.


I understand that no member, including myself, has rights to permanent use of any given space except under written agreement with MakerSPACE (i.e., private office for the allotted membership term only).


I agree not to maintain or store any inventory of goods in common areas of the premises that have not been expressly designed for such purpose.


I understand that I must clean up after myself and my guests and that not doing so is grounds for revoking my membership.
I understand that I must receive permission from MakerSPACE to post signs, host events, or otherwise use The Space in ways that may impose on the interests of the membership community.


I agree not to act in a manner that in MakerSPACE’s sole discretion does or is likely to adversely affect the peaceful operation or enjoyment of The Space, the building in which The Space is located, or the building’s occupants, guests, or contractors.

I understand that all advertising in common areas must be coordinated with the management of MakerSPACE for digital (TV) ad space as applicable.

​

I agree to act in accordance with MakerSPACE's pledge to maximize energy conservation at The Space (ie. closing doors and cutting off lights throughout The Space when not being utilized).

I understand that the reception desk/area is a common area and is not a personal extension of my licensed area of use for personal gatherings or congregation above what is considered reasonable use and occupancy.

​

This is a safe and welcoming space. Any behavior that is deemed as harassment, discrimination, abusive, or otherwise disrespectful will not be tolerated and will be grounds for immediate removal. Be nice!

7. No Illegal or Otherwise Objectionable Activity

 

I agree not to engage in any illegal activity in The Space or in or around the building in which The Space is located, including but not limited to drug use or illegal online activity, and that doing can result in immediate membership cancellation with no refund.

I agree not to engage in any online or business activity of the sort that may damage or impair the functioning of The Space or its Services, including but not limited to overburdening or impairing any servers or networks connected to The Space, and that doing so can result in immediate membership cancellation with no refund.
I agree not to engage in any online or business activities of a questionable moral character that may damage or otherwise adversely affect the benefits of Membership, MakerSPACE’s reputation, or the reputation of Members of The Space, including but not limited to using The Space in connection with downloading or using trademarked or copyrighted material without permission, pyramid schemes, spam, identity theft, defaming or harassing others, or uploading or downloading pornography or indecent material. In cases where a judgment call remains to be made, such judgments will be made at the sole discretion of MakerSPACE.

8. Indemnification and Limited Liability

​

I understand that if someone or something at The Space gets hurt or damaged as a result of my negligence, then I am responsible to pay for that injury or damage if my insurance provider does not.

In no event shall MakerSPACE, or its agents, employees, members, shareholders, or guests be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever, including but not limited to damages for: loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty, negligence, and any other pecuniary or other loss whatsoever, arising out of or in any way related to the participation in or inability to participate in or use of The Space or its Services, the provision of or failure to provide Services, or otherwise under or in connection with any provision of this agreement.

I agree not to hold MakerSPACE or its employees or agents responsible for the loss, theft, or damage of Members’ personal belongings including but not limited to laptop computers, cell phones, clothing, bags, wallets, books, or other items held in any area of The Space, to include private office suites or dedicated desks.

MakerSPACE will carry Liability and Personal Property insurance for property belonging to MakerSPACE and The Space. Private Office Resident Members and Dedicated Desk Members are also required to carry general business liability insurance naming MakerSPACE Spaces, LLC as additionally insured. It is strongly suggested that all other members carry ones own liability and personal property insurance policy to cover one’s own property and to protect against damage to MakerSPACE, The Space, the building, or other Members’ personal belongings.

9. Other Policies

 

According to building policy, your guests must sign in and out of the front desk in the reception area at the iPad kiosk.

You are responsible for controlling the noise of yourself and your guests. Please be mindful of other tenants in the building.

 


10. Final Provisions

 

I understand that MakerSPACE reserves the right to update these Terms and Conditions of Membership at any time. I understand that MakerSPACE will attempt to contact Members to notify them of any changes within 30 days of their enactment, but I also understand that Members are ultimately responsible to periodically check the Terms and Conditions of Membership for any changes. These are located on Cobot, under the Help Desk > How-Tos.

In the event that any provision or portion of these Terms and Conditions of Membership are determined to be invalid, illegal, or unenforceable for any reason, in whole or in part, the remaining provisions shall be unaffected and shall remain in full force and effect to the fullest extent permitted by the law.


The rights and obligations not specified herein shall be governed by the Maryland law. Any disputes shall be settled in compliance with the Maryland law.
